Commission Schedule

Applies to all Customers of JPAgency LLC using Chispa, unless a separate written agreement expressly overrides this Schedule.

1. Purpose and incorporation

This Commission Schedule (the "Schedule") sets the fees you owe under Section 6 of the Terms of Service and is incorporated into them. Capitalized terms have the meaning given in the Terms. We may modify this Schedule under Section 13 below and Section 16 of the Terms.

2. Commission rate (descending scale)

Unless a channel is billed by Seat under Section 7, Chispa charges a commission on the monthly Net of your Attributed Sales, on the following descending scale, the rate falls as you produce more within Chispa. A single rate applies to your whole monthly Net inside, based on the bracket your monthly total reaches. The scale is applied per calendar month (UTC) and per agency, and resets each month.

No specific future rate is promised or guaranteed beyond what is stated here; changes are governed by Section 13.

3. Base of calculation

The base for commission is the Net, the Fan payment on the Fan Platform minus the Fan Platform's standard platform fee (currently twenty percent (20%) on OnlyFans), and minus refunds. The base is taken before any payment-processor fees the Fan Platform may apply, so it is an objective figure visible in your Fan Platform dashboard. Illustratively, at the 10% bracket:

Fees are denominated in U.S. dollars. Where the Fan Platform reports another currency, we convert at a market rate at the time of computation.

4. Attributed Sales that generate commission

Per Section 6.2 of the Terms, commission is owed on a Sale that is attributable to your use of the Service as determined by the Service's own records. Specifically, a Sale is an Attributed Sale when any of the following applies:

(a) Content or paid message sent through the Service. A pay-per-view purchase, paid message or custom order results from a message that was sent through the Service, whether composed by the AI Copilot or by a human operator using the Service, identified by matching the Fan Platform's message identifier for that message, including any later unlock of that content, at any time and with no time limit.

(b) Tip in a managed conversation. A tip is received in a conversation that the Service was actively managing, that is, a conversation in which a message was sent through the Service (including within a short lead-in window before the start of the calendar month).

Platform subscriptions are excluded and never generate commission. Attribution is deterministic and based on Fan Platform records (message identifiers and reported Sale amounts), which makes it resistant to manipulation.

5. Attribution reporting and disputes

Attributed Sales are reported to you in the Service's analytics, broken down by Managed Creator and Sale type, and in your downloadable statement. Reporting updates on a regular refresh cycle and may not be instantaneous. You must submit any attribution dispute in writing to [email protected] within thirty (30) days of the Sale appearing in your statement; absent a timely dispute, the reported attribution is final.

6. What is not commissionable

Commission is not charged on: platform subscriptions; Sales you close entirely outside the Service (no message sent through the Service and, for tips, no conversation the Service was managing); refunded or reversed amounts (see Section 9); and periods with zero Attributed Sales.

7. Seats for non-OnlyFans channels (Telegram)

Channels that are not OnlyFans or an equivalent Fan Platform, currently Telegram, are billed per connected model as a monthly Seat rather than by commission. Seats are tiered by usage. Each model's first day is free; the applicable Seat is charged upfront after the 24-hour trial and again every 30 days from the start of service. Seats are prepaid and non-refundable. If auto-renew is off and the Seat is unpaid, the Telegram features for that model are disabled until paid.

The tier for a given model is set by its usage. Where usage materially exceeds the top tier, we may offer a custom plan for that model.

8. Prepaid AI credits

AI features consume prepaid credits from your agency balance. You top up the balance in advance, including by cryptocurrency, subject to a minimum shown at checkout (currently USD 50 for cryptocurrency). Where indicated, network and processor fees are paid by the payer so you receive the intended credit amount. AI generation pauses when your balance reaches zero. Operating the CRM itself does not require a positive balance up to a modest debt limit shown in the Service. Credits are non-refundable except as required by law.

9. Billing, collection and refund reconciliation

Commission and Seats are collected from your prepaid balance. Commission accrues as Attributed Sales occur and is reconciled periodically against your balance; prepaid balance is consumed when a charge triggers. If a Fan Platform refunds a Sale that was an Attributed Sale, we automatically credit your balance for the corresponding commission on a periodic automated cycle using Fan Platform records with a rolling lookback window, proportional to the refunded portion. Chargebacks, disputes or reversals may result in clawback and suspension.

10. Invoicing and statements

You receive an itemized statement of Attributed Sales, Sale types and fees per Managed Creator, available for download in the Service, plus historical statements. Charges are reflected in your balance in real time.

11. Free CRM use

Using the CRM without generating Attributed Sales, and without activating AI features, incurs no commission and no fee. No commission is charged for a period with zero Attributed Sales.

12. Taxes

All amounts are exclusive of taxes, which are your responsibility, including any withholding, sales, use or value-added taxes applicable to you.

13. Modifications

We may modify this Schedule at any time, at our discretion, in accordance with Section 16 of the Terms. Any change becomes effective when posted to our legal pages with an updated version identifier, applies only to Attributed Sales on and after that date, and never applies retroactively to a month already billed. It is your responsibility to review the current Schedule and to remain informed of it. Your continued use of the Service after a change is posted constitutes your acceptance of it.
